Terms of Service

In force since 17 September 2026

These Terms of Service ("Terms") govern access to and use of the Chitrail platform and related services (the "Service"), operated by Ozhaca LLC, a limited liability company organised under the laws of the State of Wyoming, United States, with its registered address at 30 N Gould St Ste N, Sheridan, WY 82801, United States ("Company", "we", "us"). The party that registers an account is referred to as "Customer" or "you".

By registering for, accessing or using the Service, Customer accepts these Terms. If Customer does not accept them, Customer must not use the Service. The individual accepting these Terms represents that they are authorised to bind the entity on whose behalf they act.

1. The Service

The Company provides a hosted software service enabling a food and beverage business to publish a digital menu, receive orders placed from its premises, display those orders to kitchen and service staff, manage tables and reservations, and view reporting on that activity. The features available to Customer are determined by the subscription plan selected.

The Service does not process payments between Customer and its guests. The Company is not a payment processor, payment facilitator, money transmitter or agent of Customer for the collection of funds, and charges no commission on Customer transactions.

The Company may modify, add to or discontinue features of the Service. Where a change materially reduces functionality Customer relies on, the Company will provide notice through the Service in advance where reasonably practicable.

2. Accounts and access

Customer is responsible for all activity conducted through its account, including activity by its personnel. Customer must maintain the confidentiality of all access credentials and codes issued to it and must revoke access promptly when a person ceases to be authorised.

Each account designates an owner. Only the account owner may change the subscription plan, add or remove locations, or terminate the account.

Customer must ensure that its use of the Service, and the use by its personnel, complies with applicable law, including employment, consumer protection and data protection law in the territories in which Customer operates.

3. Fees, billing and renewal

Subscription fees are those set out on the Company pricing page at the time of purchase, are stated in United States dollars and are exclusive of any applicable taxes, which are Customer’s responsibility unless the Company is required to collect them.

Subscriptions are billed in advance on a monthly or annual term and renew automatically for successive terms of the same length at the then-current price for that plan, unless cancelled before the renewal date.

An upgrade or an increase in the number of locations takes effect on confirmation and is charged at that time. A downgrade takes effect at the start of the next billing term. Fees paid are non-refundable and the Company does not provide credits or refunds for partial terms, unused periods or partial months of service, except where required by applicable law.

If a payment is not successfully settled, the Company will provide a grace period of fourteen (14) days during which the Service remains available and notice is given through the Service. If the amount due remains unpaid at the end of that period, the Company may suspend the Service, including the publication of Customer’s menu and the acceptance of orders, until the account is brought current.

Payment processing for subscription fees is performed by a third-party payment processor. The Company does not receive or store Customer payment card details.

4. Customer Data

As between the parties, Customer retains all right, title and interest in the data it submits to or generates through the Service, including menu content, images, pricing, order records and reporting data ("Customer Data"). Customer grants the Company a non-exclusive, worldwide, royalty-free licence to host, copy, transmit, display and process Customer Data solely to provide, secure, support and improve the Service and as otherwise permitted under these Terms.

Customer represents and warrants that it holds all rights necessary to submit Customer Data and that Customer Data does not infringe the rights of any third party.

The Company will not sell Customer Data and will not disclose it to third parties except to the categories of service providers described in the Privacy Policy, where required by law, or with Customer’s instruction.

Customer may at any time during the subscription term export, from within the Service and in a machine-readable format, its menu, its order records at line level, and its daily takings.

5. Menu content, allergens and regulatory compliance

Customer is solely responsible for the accuracy, completeness and legality of all content it publishes through the Service, including dish descriptions, prices, allergen information, dietary indications, nutritional statements, alcohol and age-restricted product listings, and any licence or permit disclosures required in its jurisdiction.

The Company reproduces the information Customer enters. The Company does not verify, and is not capable of verifying, the composition of any item prepared by Customer, and makes no representation as to the accuracy of allergen or dietary information displayed.

Where the Service provides automated extraction of menu content from a document supplied by Customer, the output is a draft only. Customer is responsible for reviewing and correcting that output before publication.

Customer will indemnify and hold harmless the Company and its officers, employees and agents from and against any claim, loss, liability, damage, cost or expense (including reasonable legal fees) arising from Customer Data, from Customer’s menu content, or from Customer’s breach of this Section 5.

6. Acceptable use

Customer must not, and must not permit any third party to:

  • Offer through the Service any goods or services Customer is not lawfully permitted to sell in its jurisdiction;
  • Publish content that infringes the intellectual property, privacy or other rights of any person;
  • Resell, sublicense, lease or otherwise make the Service available to any third party, or register accounts on behalf of businesses Customer does not operate;
  • Interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorised access to it or to data belonging to any other customer;
  • Reverse engineer, decompile or disassemble any part of the Service, or use it to build a competing product; or
  • Use automated means to access the Service other than through interfaces the Company provides for that purpose.

The Company may suspend access where it reasonably believes this Section has been breached, or where continued access presents a risk to the Service or to other customers. Except where immediate suspension is necessary, the Company will state the grounds for suspension.

7. Term, termination and deletion

These Terms remain in effect for so long as Customer maintains an account. Customer may terminate at any time through the Service. Termination stops the subscription and results in the deletion of the account, Customer Data and all associated user records. Deletion is permanent and cannot be reversed.

The Company may remove accounts that show no substantive use: an account created with no content after seven (7) days, and an account holding published content that has never held a paid subscription after ninety (90) days. An account that has held a paid subscription is not subject to this Section.

The Company may terminate these Terms on notice where Customer materially breaches them and fails to cure the breach within thirty (30) days of notice, or immediately where cure is not possible.

Sections 4, 5, 8, 9, 10 and 12 survive termination.

8. Warranties and disclaimers

Each party represents that it has the authority to enter into these Terms. The Company will provide the Service with reasonable skill and care and will maintain commercially reasonable administrative, technical and physical safeguards designed to protect Customer Data.

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". THE COMPANY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE AGAINST ALL THREATS.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY OR DATA, WHETHER IN CONTRACT, TORT OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE COMPANY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL AMOUNTS PAID BY CUSTOMER TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited.

10. Confidentiality

Each party may receive information of the other that is marked confidential or would reasonably be understood to be confidential. The receiving party will use such information only to perform under these Terms and will protect it with no less than reasonable care. This Section does not apply to information that is or becomes public without breach, was lawfully known before disclosure, or is independently developed.

11. Changes to these Terms

The Company may amend these Terms. The date stated above will be updated and notice of material changes will be given through the Service before they take effect. Continued use of the Service after the effective date constitutes acceptance of the amended Terms. If Customer does not accept them, Customer may terminate under Section 7.

12. General

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules, and the state and federal courts located in Wyoming have exclusive jurisdiction over any dispute arising from them. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Neither party is liable for failure or delay in performance caused by circumstances beyond its reasonable control. Customer may not assign these Terms without the Company’s written consent; the Company may assign them in connection with a merger, acquisition or sale of assets. If any provision is held unenforceable, the remainder continues in effect. A failure to enforce a provision is not a waiver of it. These Terms, together with the Privacy Policy and the plan ordered, constitute the entire agreement between the parties on their subject matter and supersede all prior understandings.
